Terms & Conditions - Simple Software solutions

Scope

These General Terms and Conditions (GTC) apply to all contracts between Simple Software Solutions Aljaz Bogdan e.U., owner Aljaž Bogdan (hereinafter "Contractor") and its clients (hereinafter "Client") for the provision of services in the field of software development and consulting.

Conclusion of Contract

Offers from the Contractor are non-binding. A contract is only concluded upon written order confirmation by the Contractor or by the mutual signing of a written contract. Oral side agreements are not valid.

Scope of Services

The precise scope of the services to be provided (e.g., software development, consulting, website creation) will be detailed in a separate written offer or contract. The Contractor provides its services to the best of its knowledge and belief and in accordance with the current state of technology.

Prices and Payment Terms

The prices for the services are specified in the offer or contract and are, unless otherwise stated, in Euros. Unless otherwise agreed, invoices from the Contractor are due for payment within 14 days without deduction.

Client's Duty to Cooperate

The Client is obliged to provide the Contractor with all information, data, and access necessary for the provision of services in a timely and complete manner. Delays resulting from a breach of these duties to cooperate are not the responsibility of the Contractor.

Acceptance

Upon completion of the contractually agreed services, an acceptance by the Client will take place. The Client must inspect the services immediately and report any defects in writing. If no notice of defects is given within 14 days of provision, the services are deemed to have been accepted in accordance with the contract.

Liability

The Contractor is only liable for damages resulting from intent or gross negligence. Liability for slight negligence, lost profits, and consequential damages is excluded. In any case, liability is limited to the amount of the respective order value.

Confidentiality and Data Protection

Both parties undertake to treat all business and trade secrets obtained in the course of the cooperation as confidential. The processing of personal data is carried out in accordance with the applicable General Data Protection Regulation (GDPR).

Final Provisions

Austrian law applies. The place of jurisdiction for all disputes arising from this contractual relationship is Graz, Austria. Should individual provisions of these GTC be or become ineffective, the validity of the remaining provisions shall not be affected.
